1. About Wego Technologies LLC and the Omni Platform
Wego Technologies LLC ("Wego," "we," "us," or "our") is a California software technology company. Wego develops and operates the Omni platform, including the rideomni.com website and the Omni mobile application (collectively, the "Platform").
WEGO IS NOT A TRANSPORTATION COMPANY AND DOES NOT PROVIDE TRANSPORTATION SERVICES. The Platform is a technology marketplace that enables independent, third-party transportation providers ("Drivers") to offer pre-scheduled private car services to individuals seeking such services ("Riders"). Drivers are independent contractors, not employees, agents, or representatives of Wego. Wego has no control over, and expressly disclaims all liability for, the actions, omissions, conduct, or performance of any Driver in connection with any transportation service.
By accessing or using the Platform, you acknowledge and agree that any transportation service arranged through the Platform is provided solely by the Driver and not by Wego.
2. Acceptance of Terms
These Terms of Use ("Terms") govern your access to and use of the Platform. By creating an account, accessing, or using the Platform, you agree to be legally bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not access or use the Platform.
We reserve the right to update these Terms at any time. We will notify you of material changes via email or through the Platform at least thirty (30) days before they take effect. Continued use of the Platform after the effective date of any update constitutes your acceptance of the revised Terms.
You must be at least eighteen (18) years of age to create an account or use the Platform.
3. The Platform — Technology Services Only
The Platform provides the following technology services:
Wego does not dispatch, direct, supervise, or control Drivers. Wego does not set routes, guarantee arrival times, or assume responsibility for the quality, safety, legality, or any other aspect of transportation services provided by Drivers. Riders and Drivers contract directly with one another for transportation services; Wego is not a party to that arrangement.
4. Account Registration and Responsibilities
To use the Platform, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@rideomni.com if you suspect unauthorized access to your account.
Rider accounts are available to individuals aged 18 and over. You may not create an account on behalf of another person or share your account credentials. Accounts are non-transferable.
5. Driver-Specific Terms
Independent Contractor Status
Drivers who use the Platform are independent contractors and not employees, agents, joint venturers, or partners of Wego. Drivers retain full and exclusive control over the manner, means, and timing of the transportation services they provide. Wego does not control or direct the performance of transportation services, does not set hours, does not guarantee any minimum number of trips or earnings, and does not withhold taxes on payments made to Drivers.
Nothing in these Terms or on the Platform shall be construed to create an employment relationship, partnership, joint venture, franchise, or agency relationship between Wego and any Driver.
Driver Eligibility Requirements
To access the Platform as a Driver, you must at all times:
Wego reserves the right to verify Driver credentials at any time and to suspend or terminate a Driver's access to the Platform if any required credential lapses or if a Driver fails to meet applicable requirements.
Platform Fees
Drivers agree to pay Wego a flat per-trip platform fee for each completed trip facilitated through the Platform. The applicable fee is determined by the Driver's enrolled vehicle tier (Standard, SUV, or Premium) and is disclosed to the Driver prior to enrollment and upon any change. Platform fees are deducted from the fare collected from the Rider before remittance to the Driver. Wego reserves the right to modify platform fees upon thirty (30) days' written notice.

Booking and Fares
Riders may use the Platform to schedule pre-arranged private car rides. An estimated fare is displayed prior to booking confirmation, calculated based on a base fare, per-minute rate, per-mile rate, and a booking fee. Actual fares may vary from the estimate based on actual route, time, and distance. A minimum fare applies to all trips, as disclosed on the Platform.
By confirming a booking, you authorize Wego to charge the payment method on file for the actual fare upon completion of the trip. All fares are non-refundable except as provided in Section 9 (Cancellations and Refunds).

7. Payments and Fees
Wego uses third-party payment processors to collect fares from Riders and remit net amounts to Drivers. By using the Platform, you authorize Wego to charge your payment method for all applicable fares and fees. Wego is not responsible for any fees imposed by your bank or card issuer.
Riders may add a gratuity for Drivers through the Platform. Gratuities are passed in full to Drivers and are not subject to platform fees.

9. Cancellations and Refunds
Riders may cancel a scheduled trip subject to the cancellation policy disclosed at the time of booking. Cancellations made within a specified window prior to the scheduled pickup time may be subject to a cancellation fee, as disclosed on the Platform. Wego reserves the right to update its cancellation policy upon reasonable notice.
If a Driver cancels a confirmed trip, the Rider will not be charged. Wego will make reasonable efforts to identify an alternative Driver but cannot guarantee availability.
Refund requests for completed trips will be reviewed on a case-by-case basis. To request a refund, contact support@rideomni.com within 48 hours of trip completion.
10. Ratings and Reviews
Following each completed trip, Riders and Drivers may be invited to rate one another and provide feedback. Ratings are used to maintain community standards on the Platform. Wego reserves the right to remove accounts with consistently low ratings or to take other corrective action in its sole discretion. Ratings and reviews must be honest and must not include defamatory, discriminatory, or false content.
11. Intellectual Property
The Platform, including all software, text, graphics, logos, and other content, is owned by Wego or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purposes. You may not copy, reproduce, modify, distribute, or create derivative works from any portion of the Platform without our prior written consent.
12. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WEGO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WEGO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WEGO DOES NOT WARRANT THE QUALITY, SAFETY, LEGALITY, OR SUITABILITY OF ANY TRANSPORTATION SERVICE PROVIDED BY A DRIVER.
YOUR USE OF THE PLATFORM AND ANY TRANSPORTATION SERVICES ARRANGED THROUGH THE PLATFORM IS AT YOUR OWN RISK.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEGO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM OR ANY TRANSPORTATION SERVICE ARRANGED THROUGH THE PLATFORM.
IN NO EVENT SHALL WEGO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO WEGO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
14. Indemnification
You agree to defend, indemnify, and hold harmless Wego and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) any transportation services you provide or receive through the Platform; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) any content you submit to the Platform.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform that cannot be resolved informally shall be submitted to binding arbitration administered by JAMS pursuant to its applicable rules. Arbitration shall take place in [County], California. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
CLASS ACTION WAIVER: TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.
16. Termination
Wego reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, conduct that Wego reasonably believes poses a risk to other users or to the Platform, or failure to maintain required credentials (for Drivers).
You may terminate your account at any time by contacting support@rideomni.com. Upon termination, your right to use the Platform ceases immediately. Sections 1, 12, 13, 14, 15, and 17 shall survive termination.
17. General Provisions
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wego with respect to the Platform and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Wego's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. You may not assign your rights or obligations under these Terms without Wego's prior written consent. Wego may assign its rights and obligations without restriction.

Between Riders and Drivers
When a booking is confirmed, limited information is shared to facilitate the trip. Riders receive the Driver's first name, vehicle description, license plate, and real-time location during the trip. Drivers receive the Rider's first name, pickup location, destination, and estimated fare. Full contact details, including phone numbers, are masked through the Platform.
Service Providers
We share information with third-party vendors who assist us in operating the Platform, including payment processors, background check providers, cloud hosting providers, analytics services, and customer support tools. These providers are contractually required to use your information only as directed by us and to maintain appropriate security standards.
Legal Requirements
We may disclose your information if required to do so by law, regulation, legal process, or governmental request, or to protect the rights, property, or safety of Wego, our users, or others.
Business Transfers
In the event of a merger, acquisition, or sale of all or substantially all of our assets, your information may be transferred as part of that transaction.
