1. Introduction
Welcome to OMNI, a software platform provided by WEGO TECHNOLOGIES LLC. These Terms of Service ("Terms") govern your access to and use of OMNI’s technology platform, which enables independent drivers to connect with passengers through a subscription-based driver application.By accessing or using OMNI’s platform, you agree to be bound by these Terms. If you do not agree, you must not use the OMNI software or platform services.
2. Platform Scope
OMNI provides access to scheduling, navigation, trip-matching, and in-app communication tools for independent drivers and their customers. OMNI does not dispatch rides, operate vehicles, or employ drivers. Any ride or transportation service initiated through the OMNI platform is offered independently by the driver, not by OMNI or WEGO TECHNOLOGIES LLC.
3. Account Registration & Eligibility
To create a user account on OMNI, you must:Be at least 18 years oldRegister with accurate and up-to-date informationMaintain valid payment credentials on fileAgree to receive platform notifications (e.g., trip updates, driver communications)OMNI reserves the right to suspend or deactivate accounts associated with fraudulent, incomplete, or misleading information.
4. Scheduling & Cancellation
4.1 Requesting a Ride
All ride requests are scheduled by users through the OMNI platform and fulfilled independently by the driver who accepts the request. OMNI does not assign, guarantee, or control availability. Ride details, such as pickup time and vehicle preference, are requested in advance through the app interface.
4.2 Cancellation Policy
Cancellations by passengers within 2 hours of a scheduled pickup may result in a cancellation fee, determined by the driver. No-shows may be subject to the full cost of the requested ride. OMNI does not handle or mediate refund claims between riders and drivers.
5. Payments & Fees
5.1 Fare Estimates & Charges
Fare amounts are calculated within the app based on factors such as time, distance, and vehicle type. Independent drivers may also include additional charges (e.g., night rates, tolls, cleaning fees) as outlined in the fare details.
5.2 Payment Processing
All payments are processed by Stripe and go directly to the driver. OMNI does not collect, retain, or distribute fares. Stripe’s processing fee (~2.9% + $0.30) applies to all transactions.
5.3 Refunds
Refunds must be resolved between the rider and the independent driver. OMNI is not a party to any transaction and does not issue refunds on behalf of drivers. All payments made through the OMNI Platform are non-refundable, except where required by law. This no-refund policy remains in effect regardless of your decision to stop using the OMNI app, interruptions to our services, third-party integrations, or for any other reason.
5.4 Promotions and Credits
From time to time, you may receive promo codes, ride credits, discounts, or other offers (collectively, “Promotions”) that can be applied toward the cost of a ride. Promotions are:
• Valid only within the OMNI platform.
• Not redeemable for cash (unless required by law).
• Non-transferable between accounts.
Promotions may be subject to limitations and expiration dates, and cannot be combined unless clearly stated. If the cost of your ride exceeds the value of the Promotion, your default payment method will be charged for the difference. Additional terms may apply as outlined in the relevant promotion or within the app.
5.5 Payment Method Authorization
When you add a new payment method or request a ride, OMNI may perform a temporary authorization hold on your selected payment method. This is used to:
• Verify the card.
• Confirm available funds.
• Help prevent fraudulent activity.
This hold is not a charge, but it may affect your available balance until your financial institution clears it. If the authorization amount exceeds the available funds, you may incur overdraft or NSF fees from your bank. OMNI is not responsible for any such bank fees and cannot recover them on your behalf.
5.6 Platform Access and Charges
OMNI does not charge a fee to download or access the OMNI app. However, we reserve the right to charge users or affiliated organizations for services offered through the platform, including but not limited to ride fares, optional add-ons, third-party services, or any additional feature introduced in the future.
6. Cancellation & No-Show Policy
6.1 Canceling a Ride? No Problem.
Plans change — we get it. You can cancel your ride anytime from the OMNI app. Just tap into the ride and hit “Cancel Ride.” Easy. But heads up — sometimes a small fee might apply depending on when you cancel and if a driver is already on the way.
6.2 Why Do I See a Charge for a Canceled Ride?
If you canceled or didn’t get matched with a driver, you might notice a temporary hold on your card for the ride price. Don’t worry — it’s not a real charge. Your bank should remove it or show it as a refund in 5–7 business days.
6.3 When Cancellation Fees Apply
You might get charged a small cancellation fee if:
• You cancel more than 30 seconds after a driver accepts.
• You cancel after the driver arrives.
• You cancel 3 rides within 15 minutes (yep, we notice).
These fees help cover your driver’s time and fuel. We keep them as low as possible.
6.4 Scheduled Rides Booked in advance?
If you cancel within 1 hour of pickup, and a driver has already been matched, a cancellation fee may apply — especially if the driver is already on the way. 😕
6.5 What Happens if You Don’t Show Up
If your driver:
• Shows up to the pickup spot,
• Waits the expected time,
• Tries to contact you...
...and the ride still doesn’t happen, that’s a no-show — and a fee may apply to cover their effort and gas.
6.6 Booking for Someone Else?
You’ll be charged any cancellation or no-show fees from that ride, even if you weren’t the one riding.

7. Conduct & Expectations
7.1 Passenger Expectations
Passengers agree to behave respectfully, comply with local laws, and follow reasonable requests from their selected driver. Riders are responsible for:
• Bringing child safety seats (if applicable)
• Alerting the driver about petsAvoiding prohibited substances during the trip
• Covering any tolls, parking, or airport access fees
7.2 Driver Expectations
Drivers using the OMNI platform agree to:
• Maintain clean, safe, and legally compliant vehicles
• Display professional behavior
• Operate independently and in accordance with local regulations
8. Insurance Disclaimer
OMNI does not provide insurance coverage for drivers, passengers, or vehicles. All users are solely responsible for obtaining and maintaining the appropriate personal, commercial, or supplemental insurance coverage as required in their jurisdiction.OMNI is not an insurance broker, provider, or claims administrator and will not be held liable for any loss, damage, or injury occurring during a trip initiated through the platform.
9. Platform Limitations
OMNI does not:
• Guarantee availability of drivers or rides
• Provide roadside assistance
• Handle trip disputes or lost item recovery
• Mediate service issues between riders and drivers
OMNI provides only the digital tools that enable connections between users.
10. Dispute Resolution
Any disputes between users (drivers or riders) should first be resolved directly between the parties. OMNI offers basic support for account and platform-related concerns only.For legal matters involving OMNI, you agree that any dispute will be resolved through binding arbitration in accordance with applicable arbitration law in the State of California.
11. Modifications & Termination
OMNI reserves the right to modify these Terms at any time. Updated Terms will be posted in the app and on the website. Continued use of the platform after updates indicates your acceptance of the revised Terms.You may terminate your use of OMNI at any time by deleting your account or canceling your subscription.
