Partner Service Agreement (PSA)

This Partner Service Agreement (“Agreement”) is entered into by and between you, a licensed transportation services provider with valid commercial insurance (“Partner”), and OMNI Technologies, LLC (“Omni”), a provider of technology and marketing services that connects riders with transportation providers.
By checking the box and clicking ACTIVATE, you acknowledge that you have read, understood, and agree to be bound by this Agreement, the Privacy Policy, and the Cookie Policy.
1. Relationship Between Omni and Partners
1.1 Technology + Marketing Partner. Omni is a technology and marketing services company. Omni does not operate vehicles, employ drivers, or provide transportation. Instead, Omni offers software applications, tools, and marketing channels (“Omni Platform”) that enable Partners to connect with potential riders and manage trip requests.
1.2 Direct Relationship with Riders. Each Partner acknowledges that the transportation services provided to riders (“Transportation Services”) create a direct business relationship between the Partner and the rider. Omni is not a party to that relationship and assumes no responsibility for actions or inactions of riders or Partners.
1.3 Omni Platform Access. Upon acceptance, Partners will receive login credentials to the Omni Driver App or Omni Hub. These credentials must remain confidential. Misuse may result in suspension.
2. Driver Standards and Qualifications
Omni only accepts licensed drivers with commercial insurance coverage. TNC drivers are not eligible.
Vehicle Requirements
Standard services: Vehicles must be 2010 or newer.
Luxury Black Car services: Vehicles must be 2018 or newer and included on Omni’s approved vehicle list.
All vehicles must be clean, safe, and well-maintained.
Insurance & Licensing
Drivers must hold the proper licensing within their state to operate as a private or black car provider for ground and airport services.
Drivers must provide commercial auto insurance (not personal/TNC coverage).
Registration and Certificate of Insurance must be submitted to Omni and kept current.
Verification
All drivers must complete Omni’s verification and approval process before activating on the platform.
Verification includes licensing review, insurance checks, and compliance screening.
Only qualified, vetted professionals are accepted as partners.
3. Financial Terms
3.1 Rider Payments. Riders pay Omni through the Omni Platform. Omni acts as the limited payment collection agent for Partners.
3.2 Partner Earnings. After deducting Omni’s applicable service fee or subscription, Omni will remit earnings to the Partner on a weekly basis.
3.3 Service Fees. Partners agree to a subscription or commission fee model as communicated by Omni. Omni may adjust service fees with prior notice.
3.4 Cancellations. If a rider cancels within the timeframe defined in Omni’s policies, the Partner may receive a partial payment.
4. Ratings & Quality
4.1 Riders and Partners may rate each other after trips.
4.2 Partners must maintain a minimum average rating as determined by Omni. Failure to do so may result in suspension.
5. Confidentiality & Data
5.1 Partners will gain access to rider information strictly for the purpose of fulfilling a booked trip.
5.2 Sharing rider contact information outside of Omni’s platform, or soliciting riders directly, is prohibited and will result in termination.
6. Policies & Standards
6.1 Service Expectations. Partners are expected to:
Provide professional, safe, and courteous service.
Arrive promptly at pickup locations.
Maintain clean, well-presented vehicles.
Comply with ADA and all applicable regulations.
6.2 Prohibited Conduct. Partners must not:
Solicit riders outside of Omni.
Offer rides for cash outside the platform.
Disparage Omni or misuse the Omni app.
7. Insurance & Liability
7.1 Partner Responsibility. Partners are solely responsible for maintaining proper commercial insurance coverage. Omni does not provide auto insurance.
7.2 Indemnification. Partners agree to indemnify and hold harmless Omni from claims, damages, or liabilities arising from Partner’s provision of Transportation Services.
8. Term & Termination
8.1 This Agreement is effective upon acceptance and continues until terminated by either party.
8.2 Either party may terminate with 7 days’ notice, or immediately in the case of material breach.
8.3 Upon termination, Partner must cease use of the Omni Platform.
9. Relationship of the Parties
9.1 The relationship between Omni and Partners is that of independent contracting parties.
9.2 Nothing in this Agreement creates an employment, joint venture, or agency relationship.
10. Governing Law & Dispute Resolution
10.1 This Agreement shall be governed by the laws of the State of Texas (or California, depending on operating territory).
10.2 Disputes will be resolved through binding arbitration under AAA rules.
11. Entire Agreement
This Agreement, including Omni’s policies, represents the full understanding between the parties and supersedes prior agreements.
Once you ACTIVATE your account, you acknowledge that Omni is a technology and marketing partner, not a transportation company, and you agree to be bound by the terms of this Partner Service Agreement.
