Rider Terms of Service
Your Rights and Responsibilities as a Rider

This Terms of Service Agreement (“Agreement”) is a legally binding contract between you (“Rider,” “you,” or “your”) and Omni Technologies LLC (“OMNI,” “we,” “us,” or “our”).
OMNI is not a transportation carrier or taxi company. OMNI is a technology and marketing platform that helps Riders pre-schedule trips and, where available, request on-demand rides from independent third-party drivers and fleets (“Third-Party Providers”). All transportation services are provided solely by these independent Third-Party Providers, not by OMNI.
OMNI currently operates exclusively in select cities within the State of Texas (the “Service Area”). This Agreement governs your use of:
OMNI’s mobile applications (the “App”),
OMNI’s website at www.rideomni.com (the “Website”), and
all related technology services (collectively, the “OMNI Services” or the “Platform”).
By accessing, downloading, or using the OMNI Services, you agree to be bound by this Agreement. If you do not agree, do not use the OMNI Services.
1. MODIFICATION OF TERMS
OMNI may modify this Agreement at any time.
Changes become effective when posted on the Website or App, unless otherwise stated.
Your continued use after changes are posted constitutes acceptance of the updated Agreement.
2. ELIGIBILITY & ACCOUNT REGISTRATION
To use OMNI as a Rider, you must:
Be at least 18 years old.
Provide accurate and current personal and payment information.
Maintain the security of your account credentials.
Use the Platform only for lawful purposes.
You may not create an account using false information or on behalf of someone else without authorization.
3. DESCRIPTION OF THE SERVICE
OMNI is a technology platform that connects Riders with independent Third-Party Providers in Texas.
OMNI supports pre-scheduled rides, and, where available, on-demand rides, depending on local supply and settings.
OMNI does not own or operate vehicles, employ drivers, or provide transportation services.
OMNI is not a common carrier, taxi company, or dispatch company. All rides are provided directly by Third-Party Providers.
OMNI does not guarantee the availability of a ride, a particular type of vehicle, or specific response times.
4. PRICING, FEES & PAYMENTS
Fare Calculation – Fares may be based on distance, time, service tier, demand, location, and other factors. Pre-scheduled fares may differ from on-demand fares.
Fees – Your total charge may include fares, service fees, airport or city fees, tolls, surcharges, and applicable taxes.
Payment Processing – Payments are processed by third-party processors (e.g., Stripe). OMNI does not store full payment card numbers.
Authorization – By using OMNI, you authorize us and our payment processors to charge your selected payment method for all charges incurred.
No Rider Subscriptions – OMNI does not require Riders to pay monthly subscriptions or memberships to use the Platform.
Except as required by law or permitted by OMNI’s policies, all charges are final and non-refundable.
5. CANCELLATIONS & NO-SHOWS
Rider Cancellations – You may cancel a ride request, but cancelling after a grace period (for example, more than 2 minutes after a Driver is assigned) may incur a cancellation fee.
No-Shows – If you fail to appear at the pickup location or cannot be reached, you may be charged a no-show fee.
Driver Cancellations – If a Driver cancels, you may request a new Driver if available. OMNI is not responsible for losses due to driver cancellations.
Details of cancellation and no-show fees may be displayed in the App or Website.
6. ESTIMATED TIMES & SCHEDULING
Pickup times, travel times, and arrival estimates are approximate and not guaranteed. OMNI and Drivers are not responsible for missed flights, appointments, or indirect losses caused by:
Traffic, weather, construction, or road closures;
Delays associated with pick-up or drop-off locations;
Other events outside reasonable control.
7. PROMOTIONS & CREDITS
From time to time, OMNI may offer promotions, discounts, or ride credits. Unless stated otherwise:
Promotions are one-time use, have no cash value, and may be subject to geographic or time limits.
Promotions and credits cannot be sold or transferred.
OMNI may modify or discontinue promotions at any time.
Any separate promotion terms will be made available in-app or on the Website and will supplement this Agreement.
8. CONDUCT & SAFETY
You agree to:
Treat Drivers, other Riders, and OMNI staff with respect.
Comply with Texas laws, including seatbelt and child restraint requirements.
Not engage in harassment, discrimination, unlawful activity, or disruptive behavior.
Not smoke, vape, or consume drugs or alcohol in vehicles, where prohibited.
Keep your belongings with you and avoid leaving property in vehicles.
OMNI may suspend or terminate your access if you engage in abusive, unsafe, or unlawful conduct.
9. DAMAGE & CLEANING FEES
If you or your guests damage a vehicle (e.g., spills, stains, broken components) or leave it excessively dirty, the Driver may report the issue to OMNI. After review:
You may be charged reasonable cleaning or repair fees.
Fees may be charged directly to your payment method and itemized in your receipt.
10. LOST ITEMS
OMNI is not responsible for lost or stolen items. Where feasible, we may assist in contacting the Driver, but we cannot guarantee recovery of any item.
11. USE RESTRICTIONS
You may not:
Use the Platform for any unlawful purpose.
Interfere with or disrupt the App, Website, or networks.
Attempt to gain unauthorized access to OMNI systems or data.
Reverse engineer, decompile, or disassemble the App.
Create competing services using OMNI’s confidential information.
12. INTELLECTUAL PROPERTY
OMNI owns all right, title, and interest in and to:
The App, Website, and underlying software;
All logos, trademarks, and branding;
All content created by OMNI (excluding your own content).
You receive only a limited, non-exclusive, revocable license to use the Platform as permitted by this Agreement.
13. PRIVACY
Your use of OMNI is subject to the OMNI Privacy Policy, which explains how we collect, use, and share personal information. By using the Platform, you consent to that policy.
14. FEEDBACK
You may submit feedback, suggestions, or ideas about OMNI. We may use this feedback without obligation, attribution, or payment to you.
15. LIMITATION OF LIABILITY
To the fullest extent permitted by Texas law:
OMNI provides the Platform “AS IS” and “AS AVAILABLE.”
OMNI is not liable for the conduct, actions, or omissions of independent Drivers or other Riders.
OMNI is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits or business.
OMNI’s total liability arising out of or relating to your use of the Platform will not exceed the total amount you paid through the Platform for rides in the six (6) months preceding the event giving rise to the claim.
16. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless OMNI from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your use of the Platform;
Your violation of this Agreement; or
Your violation of any law or third-party right.
17. GOVERNING LAW & DISPUTE RESOLUTION
This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law rules.
Any dispute, claim, or controversy arising out of or relating to this Agreement or your use of the Platform will be resolved by binding arbitration in Texas (county designated by OMNI), except where prohibited by law.
To the maximum extent allowed by law, you waive the right to participate in class actions or jury trials regarding such disputes.
18. TERMINATION
OMNI may suspend or terminate your access at any time if you violate this Agreement, misuse the Platform, or engage in conduct that OMNI believes is harmful to others or to OMNI.
You may stop using the Platform at any time. Certain provisions (including intellectual property, limitation of liability, indemnification, and dispute resolution) will survive termination.
19. ELECTRONIC COMMUNICATIONS
By using OMNI, you consent to receive communications electronically (email, SMS, and in-app messages). You may opt out of marketing messages but will continue to receive essential communications (e.g., receipts, support notices).
20. MISCELLANEOUS
No Agency – This Agreement does not create a partnership, joint venture, or employment relationship between you and OMNI.
Assignment – You may not assign this Agreement. OMNI may assign or transfer this Agreement to an affiliate or successor.
Severability – If any provision is found invalid, the remaining provisions remain in full force.
Entire Agreement – This Agreement, together with the Privacy Policy and any additional posted terms, constitutes the entire agreement between you and OMNI regarding the OMNI Services.
