Rider Terms of Service

This Terms of Service Agreement (“Agreement”) is a legally binding contract between you (“Rider,” “you,” or “your”) and Omni Technologies LLC (“OMNI,” “we,” “our,” or “us”), a California-based technology and marketing provider. This Agreement governs your use of OMNI’s mobile applications (the “App”), the website located at www.rideomni.com (the “Website”), and all related technology services provided by OMNI (collectively, the “OMNI Services” or the “Platform”).

By accessing, downloading, or using the OMNI Services, you expressly and voluntarily agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you must not use the OMNI Services.


1. MODIFICATION OF TERMS

  • Right to Amend – OMNI may update this Agreement at any time.

  • Your Responsibility – You are responsible for reviewing updates. Continued use after updates signifies acceptance.

  • Change Notification – OMNI may, but is not obligated to, send notice of significant changes via email, in-app alerts, or postings on the Website.


2. ELIGIBILITY AND ACCOUNT REGISTRATION

  • Age Requirement – You must be at least 18 years old to create an account or request rides via OMNI.

  • Accurate Information – You agree to provide and maintain current, accurate personal and payment details.

  • No Assignment – Your account is personal and cannot be transferred.

  • Compliance with Law – You must use the Platform only for lawful purposes and may not transport unlawful items.


3. DESCRIPTION OF THE SERVICE

  • Technology Platform – OMNI provides a lead-generation and communication platform connecting Riders with independent, licensed third-party drivers and fleets (“Transportation Providers”).

  • No Carrier Role – OMNI is not a transportation company, common carrier, or employer of Drivers. All rides are provided directly by independent Transportation Providers.

  • No Guarantee of Availability – OMNI does not guarantee that a driver will be available at any time, place, or service level.

  • Limited License – OMNI grants you a limited, revocable license to use its technology solely for arranging rides through independent drivers.


4. PARTNERSHIPS AND AFFILIATES

OMNI may partner with local businesses, municipalities, or nonprofits to market and subsidize rides. Such Affiliates benefit from certain disclaimers and indemnifications within this Agreement.


5. PRICING AND PAYMENTS

  • Payment Facilitation – Payments are processed directly between Riders and Transportation Providers through Stripe or similar third-party processors. OMNI does not handle or hold Rider funds.

  • Dynamic Pricing – Fares may vary by distance, time, demand, or chosen service category.

  • Finality of Charges – Payments are final and non-refundable except as expressly permitted by OMNI’s policies or California law.

  • Authorization – By using the Platform, you authorize OMNI’s payment processor to charge your designated payment method.


6. CANCELLATION AND NO-SHOWS

  • Rider Cancellations – Canceling after a grace period (e.g., 2 minutes) may incur a cancellation fee set by the driver or fleet.

  • Driver Cancellations – If a driver cancels, you may request another match.

  • No-Shows – If you fail to appear at the pickup location, you may be charged a no-show fee.


7. TIME ESTIMATES

Pickup and drop-off times are estimates only. OMNI and Drivers are not liable for missed flights, appointments, or indirect losses due to traffic, weather, or unforeseen delays.


8. PROMOTIONS

  • Eligibility – Promotions may have restrictions (e.g., region, expiration).

  • Non-Transferable – Promo codes cannot be sold, combined, or exchanged for cash.

  • Discretion – OMNI may modify or revoke promotions at any time.


9. DAMAGE AND CLEANING FEES

If you or your guests damage a driver’s vehicle (e.g., spills, stains, broken items), you may be charged reasonable repair or cleaning fees, typically between $25–$150. Disputes may be submitted with evidence.


10. CONDUCT GUIDELINES

  • No smoking, disruptive behavior, or unlawful activity in vehicles.

  • Minors under 18 must ride with an adult unless a special program allows otherwise.

  • Riders must comply with California child car seat laws.


11. USE RESTRICTIONS

You may not:

  • Reverse engineer or copy OMNI’s software.

  • Attempt unauthorized access to the Platform.

  • Use OMNI for commercial reselling or unlawful purposes.


12. INTELLECTUAL PROPERTY RIGHTS

OMNI retains ownership of all software, trademarks, and intellectual property associated with the Platform. You are granted only a limited license for personal use.


13. PRIVACY & DATA

Use of the Platform is subject to the OMNI Privacy Policy, which governs the collection, storage, and processing of your personal information, location data, and telematics data.


14. FEEDBACK

Any feedback or suggestions you provide may be used by OMNI without obligation or compensation.


15. LIMITATION OF LIABILITY & INDEMNIFICATION

  • As-Is Service – OMNI provides its Platform “as is” and “as available.”

  • Independent Drivers – OMNI disclaims liability for acts or omissions of independent Drivers.

  • Internet Risks – You acknowledge risks of data transmission over the internet.

  • Indemnification – You agree to indemnify and hold harmless OMNI from claims arising from your misuse of the Platform or violation of this Agreement.

  • Liability Cap – OMNI’s liability, if any, is limited to the total subscription or service fees you paid in the six months preceding the claim.


16. FORCE MAJEURE

OMNI is not liable for disruptions caused by events beyond its control, including natural disasters, strikes, network failures, or government orders.


17. THIRD-PARTY BENEFICIARIES

Apple, Google, and other app store providers are deemed third-party beneficiaries but have no obligations under this Agreement.


18. CLAIMS LIMITATION PERIOD

Any claim must be filed within one year of the event giving rise to it. Claims not filed in time are permanently barred.


19. TERMINATION

OMNI may suspend or terminate your account at any time for violations of this Agreement. Provisions regarding indemnification, liability, and intellectual property will survive termination.


20. GOVERNING LAW & DISPUTE RESOLUTION

  • Governing Law – This Agreement is governed by the laws of the State of California, excluding conflict-of-law principles.

  • Arbitration – Disputes must be resolved by binding arbitration in Santa Clara County, CA under the California Arbitration Act. Class actions and jury trials are waived.


21. ELECTRONIC COMMUNICATIONS

By using OMNI, you consent to receive communications electronically. You may adjust preferences or opt out of marketing communications.


22. MOBILE DEVICE USE

You are responsible for ensuring your device is compatible with the OMNI App and for any data charges incurred.


23. NO AGENCY

This Agreement does not create an employment, agency, or partnership relationship between you and OMNI. Transportation Providers are independent contractors.


24. ASSIGNMENT

You may not assign your rights under this Agreement. OMNI may assign or transfer this Agreement to a successor or affiliate.


25. LANGUAGE VERSION

This Agreement is provided in English. If translated, the English version governs in case of conflict.


26. CHILDREN’S PRIVACY

OMNI does not knowingly collect data from children under 13. Accounts created by minors are subject to termination.


27. EXTERNAL LINKS DISCLAIMER

OMNI is not responsible for third-party websites linked within the Platform.


28. EXPORT CONTROL

You may not use or export the OMNI Services in violation of U.S. trade sanctions or export laws.


29. “AS IS” & NO GUARANTEE OF AVAILABILITY

OMNI does not guarantee uninterrupted service, driver availability, or quality of rides arranged through the Platform.


30. LOST OR STOLEN ITEMS

OMNI is not responsible for lost or stolen property. Riders must contact the driver directly.


31. REFUNDS & DISPUTE ESCALATION

If you dispute a charge, OMNI may conduct a two-step review. The outcome of the second-level review is final unless taken to arbitration.


32. OMNI RIDER POLICY

By using the Platform, you agree to abide by the OMNI Rider Policy (incorporated as Schedule “A”), which may be updated periodically.


33. ACCEPTANCE

By creating an account, you confirm that you have read and agreed to this Agreement.

Omni is a technology and marketing platform, not a rideshare company. All rides are provided by independent commercial insured drivers who operate their own business and coverage. Omni connects you with these drivers and gives you an easy way to book a ride, but we do not provide transportation directly. Trip matters like vehicle condition, cleanliness, or conduct during a ride are the responsibility of the driver. Omni’s role is to offer technology tools and support to make your ride experience simple, fair, and transparent.
